1. Agreement to Terms
By accessing or using InsightQR ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
InsightQR provides QR code generation, management, and analytics services. The Service allows users to:
- Create and customize QR codes
- Track QR code scans and gather analytics data
- Organize QR codes into campaigns
- Generate reports and export data
- Access additional features based on subscription tier
3. User Accounts
3.1 Account Creation
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
3.2 Account Eligibility
You must be at least 18 years old to use this Service. By creating an account, you represent that you meet this requirement.
4. Acceptable Use
You agree NOT to use the Service to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Distribute malware, viruses, or harmful code
- Engage in phishing, spam, or fraudulent activities
- Harass, abuse, or harm others
- Create QR codes linking to illegal, harmful, or inappropriate content
- Attempt to gain unauthorized access to the Service or other users' accounts
- Use automated systems to access the Service without permission
5. Subscription Plans and Payment
5.1 Pricing
InsightQR offers various subscription plans with different features and usage limits. Current pricing is available on our pricing page.
5.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis
- All fees are in U.S. Dollars and non-refundable except as required by law
- We use Stripe for payment processing
- You authorize us to charge your payment method for all fees incurred
5.3 Price Changes
We reserve the right to modify subscription prices with 30 days' notice. Changes will not affect your current billing cycle.
5.4 Cancellation
You may cancel your subscription at any time. Upon cancellation:
- Your subscription remains active until the end of the current billing period
- You will not be charged for subsequent billing periods
- Your account will revert to the Free plan limitations
- No refunds will be issued for partial billing periods
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including all content, features, and functionality, is owned by InsightQR and is protected by copyright, trademark, and other intellectual property laws.
7.2 Your Content
You retain ownership of content you upload to the Service (QR code destinations, logos, campaign data, etc.). By uploading content, you grant us a license to:
- Store and display your content as necessary to provide the Service
- Create QR codes based on your specifications
- Generate analytics from scan data
This license terminates when you delete your content or account, except for content that has been shared with others.
8. Service Availability
8.1 Uptime
We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Emergency maintenance
- Technical issues beyond our control
- Force majeure events
8.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
9. Usage Limits
Each subscription plan includes specific usage limits for:
- Number of QR codes
- Number of scans per month
- API call limits (if applicable)
- Team member seats (if applicable)
If you exceed your plan's limits, we may:
- Temporarily restrict access to certain features
- Require you to upgrade to a higher-tier plan
- Charge overage fees as specified in your plan
10. Termination
10.1 Termination by You
You may terminate your account at any time through your account settings or by contacting support.
10.2 Termination by Us
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay fees when due
- Create risk or legal liability for us or others
We will provide notice when possible, but reserve the right to terminate immediately for serious violations.
10.3 Effect of Termination
Upon termination:
- Your access to the Service will cease
- Your QR codes will stop tracking scans
- Your data will be deleted within 30 days unless legally required to retain it
- You may request a data export before termination
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy or reliability of data
We do not guarantee that QR codes will scan successfully on all devices or that analytics data will be 100% accurate.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSIGHTQR SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Damages resulting from your use or inability to use the Service
- Damages caused by third parties or external factors
Our total liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless InsightQR from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of others
- Content you upload or QR codes you create
14. Dispute Resolution
14.1 Informal Resolution
Before filing a claim, you agree to contact us at support@insightqr.com to attempt to resolve the dispute informally.
14.2 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
14.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions or class arbitrations.
14.4 Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.
15. Changes to Terms
We may update these Terms from time to time. When we do:
- We will update the "Last Updated" date
- We will notify you via email or in-app notification
- Continued use of the Service after changes constitutes acceptance
- Material changes will be announced with 30 days' notice
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and InsightQR.
16.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
16.3 Waiver
Our failure to enforce any provision does not waive our right to enforce it later.
16.4 Assignment
You may not assign these Terms without our consent. We may assign these Terms to any successor or affiliate.
